Abstract
For the first time, the general duties of directors have been given statutory form in the Companies Act 2006. This article concentrates on the duties of compliance (with the company’s constitution), proper purpose and good faith contained in sections 171 and 172. In the first judicial comment on these sections, Lord Glennie has said in passing, “these sections appear to do little more than set out the pre-existing law on the subject.”1 But is that true?
